COMMISSIONED SALES REPRESENTATIVE
INDEPENDENT CONTRACTOR AGREEMENT

This agreement is entered into as of ____, 2007, between Shorebird Corporation, a California corporation doing business as the Coachella Valley Trading Co. (“CVTC”) and the undersigned (“Representative”).

Engagement. CVTC engages Representative as a commissioned sales representative for CVTC. Representative’s engagement may be terminated at any time by either party for any reason, by written notice to the other. Representative shall at all times comply with applicable laws and with policies established from time to time by CVTC.

Compensation. As compensation, CVTC shall pay Representative a commission equal to 30% of the “gross profit” of CVTC on each product sold by Representative. Gross profit shall mean the sales price of the product actually received or collected by CVTC, reduced by (i) the purchase price of such product, including freight, delivery, taxes (if any) and other expenses directly associated with the purchase of such product, and (ii) the “house load” established from time to time by CVTC (currently 5%). All commissions will be paid monthly on an “as collected” basis.

Authority. Representative shall not have any authority to enter into, and shall not enter into, any agreement, whether for the purchase or sale of products or otherwise, nor incur any liability or obligation, on behalf of CVTC without the prior written authorization of CVTC. Acceptance and approval of all orders and proposed contracts are within the sole discretion of CVTC, and no agreement or contract shall be binding upon CVTC and no sale made by Representative unless approved by CVTC.

Independent Contractor. Representative is an independent contractor of CVTC, and shall not perform any services under this agreement as an employee or agent of CVTC. CVTC shall have no right to control or direct the method, details or means by which Representative performs services under this agreement. As an independent contractor, Representative assumes full responsibility for (a) payment of all federal, state and other taxes, including social security, medicare, disability and unemployment insurance, pertaining to services rendered and compensation paid under this agreement, and (b) compliance with applicable worker’s compensation insurance laws. Representative is not entitled to any benefits, such as health insurance, profit sharing or vacation pay, from CVIC.

Ownership of Information. All customer lists, pink sheets, invoices, quotation forms, price lists, dump sheets, notebooks, memoranda, reports, samples, designs, specifications, files, records, documents, drawings, software, data, equipment and similar items relating to the business of CVTC (“Documents and Materials”), shall be and remain the exclusive property of CVTC. Immediately upon termination of Representative’s employment with CVTC, Representative shall deliver to CVTC all such Documents and Materials, including all copies and excerpts, in his or her possession or control.

General Provisions. Waiver of any provisions of this agreement shall not be deemed a waiver of any other provisions, nor shall any waiver constitute a continuing waiver. This agreement shall be governed by California law, and any legal proceeding arising in connection with this agreement shall be maintained only in Riverside County, California. This agreement may be amended only by a written instrument signed by both parties. This agreement may not be assigned or delegated by Representative.
